2024 Zeal Hackathon

General Terms and Conditions

IMPORTANT: PLEASE READ THESE GENERAL TERMS AND CONDITIONS, WHICH ARE A CONTRACT, CAREFULLY. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. BY PARTICIPATING, YOU AGREE TO BE BOUND BY THESE GENERAL TERMS AND CONDITIONS AND REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS.

Introduction
The 2024 Zeal Hackathon is sponsored by Zeal Global, Inc. (“Sponsor”), and will take place virtually from June 19, 2024, to June 21, 2024. These Terms and Conditions (the “Term”) apply to your application and participation in any Hackathon, and in addition to any other Hackathon terms, describe the Hackathons’s requirements as well as the Prizes that you may receive as a potential Finalist in the Hackathon.

Your creation or release of a Project or Participant Materials (defined below) or your engagement in any other Hackathon related activities, do not obligate Sponsor to provide you with any Prize awards (defined below) or any other Hackathon benefits.

NO PURCHASE NECESSARY TO ENTER OR WIN THE HACKATHON. YOUR ENTRY IS VOID WHERE PROHIBITED. YOUR PARTICIPATION IN ANY SPONSOR HACKATHON IS ENTIRELY VOLUNTARY, BUT IF YOU ARE PARTICIPATING IN THE HACKATHON, YOU MUST STRICTLY ADHERE TO THESE TERMS. IF, AS PART OF YOUR VOLUNTARY PARTICIPATION, YOU MEET THE CRITERIA LISTED BELOW AND ARE SELECTED AS A WINNER IN THE HACKATHON, YOU MAY RECEIVE CERTAIN AMOUNTS OF CASH AND/OR TOKENS WHERE PERMITTED BY LAW) (“PRIZES”) UPON SELECTION BY THE JUDGES. PRIZES ARE AWARDED AT THE SOLE DISCRETION OF SPONSOR, ITS SUBSIDIARIES, PARTNERS, AND AFFILIATES AND IS NOT GUARANTEED.

 

  1. Definitions:

    1. “Additional Funding Opportunities” means any additional monetary contributions, whether in the form of investments or grants, that are subject to terms and conditions beyond the scope of the Hackathon.

    2. “Sponsor Materials” means all information and materials that may be provided to Participant by Sponsor in the course of the Hackathon and all Intellectual Property Rights thereto.

    3. “Intellectual Property” means patent rights (including patent applications and disclosures), copyrights, trademarks,, trade secret rights, work, and any other tangible or intangible property rights recognized in any country or jurisdiction in the world.

    4. “Judging” means the team of individuals selected by Sponsor who will select teams as prize winners for the Hackathon.

    5. “Participant” means all individuals and/or teams that submit an entry and participate in the Hackathon.

    6. “Participant Marks” means the trademarks, service marks, trade names and logos for your entity’s products and services.

    7. “Participant Materials” means any materials or information provided by you (including your team members) to Zeal in connection with the Hackathon.

    8. “Prize” means the eligible amount of ICP or fiat where lawful, which may be awarded to Participants who have been selected to participate in the Hackathon and have been chosen as a winner by the Judges.

    9. “Project” means the material and content that you submit (or desire to submit) to Sponsor for review and/or consideration by the Hackathon Judges under these Terms.

    10. “Sponsor” means Zeal Global, Inc. and their affiliates, subsidiaries, directors, officers, employees, sponsors and agents.

      3. Eligibility

        1. You may only participate in the Hackathon if:

          1. You are over 18 years of age or are the age of majority in the jurisdiction which you reside at the time of entry in the Hackathon.

          2. You are a resident of jurisdiction where entry in the Hackathon is not prohibited by law;

          3. You are not a resident of, citizen, or located in a geographic area that is subject to US-, UN-, Swiss or any other sovereign country sanctions or embargoes;

          4. You, nor, if applicable, any third party entities that you represent (i) is listed or associated with any person or entity being listed on any of the US Department of Commerce’s Denied Persons or Entity List, the US Department of Treasury’s Specially Designated Nationals List, the EU Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions or the Swiss SECO’s Overall List of Sanctioned Individuals, Entities and Organizations, (ii) is a person identified as a terrorist organization or any other relevant lists maintained by any government authority;

          5. Your participation in the Hackathon is not in violation of any national, state, or local law or regulation applicable to you.

          6. Your Entry is in English; and

          7. You successfully pass KYC, as applicable, according to a process that, in the sole discretion of Sponsor, is deemed sufficient.

            b.
            You may NOT participate in the Hackathon if:

      1. Participants must not be under any legal or contractual obligation that would prohibit his/her participation in this Hackathon as described in these Terms.

      2.  If participating in this Hackathon would result in a violation by the Participant of any law applicable to it or any agreement to which it is a party, such Participant is ineligible. 

      3. Participants may not be: an official or employee of any multinational, national, regional, or local government in any country, including any official or employee of any government department, agency, commission, or division; any official or employee of any government-owned or -controlled enterprise; any official or employee of any public educational, scientific, or research institution; any political party or official or employee of a political party; any candidate for public office; any official or an employee of a public international organization.

    Participation in this Hackathon constitutes Participant’s full and unconditional agreement to and acceptance of these Terms and the decisions of Sponsor.
    4. Participation

      1. Participation in this Hackathon constitutes Participant’s full and unconditional agreement to and acceptance of this Term and the decisions of the Sponsor.

         


      2.  

        In order to participate in the Hackathon and win a Prize, in additional to all other Hackathon requirements noted herein, you must do the following in accordance with any timelines communicated to you in writing by Sponsor:
        i.
        execute any additional terms or forms (e.g., W9 or W8-BEN) as may be required by Sponsor; and\comply with all Hackathon requirements as set forth in Sections 3(a) through 3(b) above and all instructions and requirements as set forth in the Hackathon Site.
        5.Entry Guidelines:



    1.  

      Entries may NOT contain, as determined by Sponsor, in its sole and absolute discretion, any content that:

       

       

       

        1. is sexually explicit, unnecessarily violent or derogatory of any ethnic, racial gender, religious, professional r age group; profane or pornographic;

       

        1. promotes alcohol, illegal drugs, tobacco (or the use of any of the foregoing) or a particular political agenda;

       

        1. defames, misrepresents or contains disparaging remarks about other people or companies;

       

        1. contains trademarks, logos, or trade dress, without express written consent of the rights holder(s) or a reasonably apparent lawful basis for your use(s);

       

        1. contains copyright materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media) either without express written consent of the rights holder(s) or a reasonaly apparent lawful basis for your use(s);\

       



        1.  

          communicates messages or images inconsistent with the positive images and/or good will to which Zeal wishes to associate; and/or violates any law; contains packaging or building (exteriors/interiors) owned by others.
          b. Sponsor reserves the right to investigate and verify, conditionally reject, or reject outright any tendered individual or Entity, in our sole and absolute discretion, that we in good faith determined may not, or does not, meet the above criteria or any terms and conditions for this Hackathon.

           

          6. Licenses:

           

           

           

            1. All Participants grant Sponsor a royalty-free worldwide license and right in perpetuity to use their name, image, and likeness for the purposes of producing, promoting, and advertising the Hackathon.

              7. Marketing and Promotion:

           

           

           

                1. Publicity. You will not issue any press releases or similar public announcements in connection with these Terms (including statements regarding the terms and conditions of these Terms and the details of the Hackathon), without the prior written approval of Sponsor.

                2. Publication in List. You agree that Sponsor may, but not required, to include the Projects in published lists and similar compilations and on its online properties during the term of the Terms and after the Hackathon has concluded, including on webpages, promotional materials, publications, and other promotional materials regarding third party products after the original Hackathon has launched. You agree to provide Sponsor with product descriptions, image logos, website links and other content regarding the project as may be reasonably requested by Sponsor for inclusion in such lists and compilations, and for use in its related marketing activities.

          c. Public Relations. You will:
          i.
          conduct your business and activities in connection with these Terms in such a manner so as to promote a good image and public relations for Sponsor;
          ii.
          not engage in any unfair or deceptive trade practice involving Sponsor or Sponsor’s services or products; and
          iii.
          not make any false, misleading or disparaging representations or statements with regard to Sponsor or Sponsor’s services or products.

          8. Representations and Warranties:

              1.  
                  1. Participant Representations and Warranties. You represent and warrant that:

                    1. you have the authority to enter into these Terms;

                    2. the information submitted to Sponsor in connection with your participation in the Hackathon, including in any application, is accurate and complete; and

                    3. none of your Participant Materials or Participant Marks infringe upon, violate or misappropriate a third party’s Intellectual Property Rights or contain any illegal or defamatory materials, or violate any law or regulation.

          Disclaimer. THE HACKATHON WEBSITES, INCLUDING BUT NOT LIMITED TO SPONSOR’S WEBSITES, THIRD PARTY VENDOR WEBSITES SUPPORTING THE HACKATHON, AND ANY SPONSOR MATERIALS YOU MAY HAVE ACCESS TO IN CONNECTION WITH THE HACKATHON ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” WITH ALL FAULTS, DEFECTS AND ERRORS, AND WITHOUT WARRANTY OF ANY KIND, SPONSOR DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES (EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE) IN CONNECTION WITH THESE TERMS, INCLUDING ANY REPRESENTATIONS OR WARRANTIES REGARDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SPONSOR MAKES NO REPRESENTATION OR WARRANTY THAT: (I) THE HACKATHON, SPONSOR WEBSITES OR SPONSOR MATERIALS WILL MEET YOUR REQUIREMENTS, THEIR OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY ERRORS WILL BE CORRECTED; (II) YOUR PROJECTS WILL BE COMPATIBLE WITH CURRENT OR FUTURE VERSIONS OF SPONSOR’S PRODUCTS OR SERVICES; OR (III) YOU WILL PROFIT OR DERIVE ANY ECONOMIC BENEFIT FROM YOUR PARTICIPATION IN THE HACKATHON.

          IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE HACKATHON, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. 9. Intellectual Property:

                    1. Assignment of Inventions. Participant agrees that all right, title, and interest in and to any copyrightable material, notes, records, drawings, designs, inventions, improvements, developments, discoveries, ideas and trade secrets conceived, discovered, authored, invented, developed or reduced to practice by Participant, solely or in collaboration with others, during the Terms and arising out of, or in connection with Participant Material these Terms and any copyrights, patents, trade secrets, mask work rights or other intellectual property rights relating to the foregoing (collectively, “Inventions”), are the sole property of the Sponsor. Participant also agrees to promptly make full written disclosure to the Sponsor of any Inventions and to deliver and assign (or cause to be assigned) and hereby irrevocably assigns fully to the Sponsor all right, title and interest in and to the Inventions.
                       

                    2. Pre-Existing Materials. Subject to Section 9.a, Participant will provide the Sponsor with prior written notice if, in the course of the Terms, Participant incorporates into any Invention or utilizes in the performance of the Participant Materials any invention, discovery, idea, original works of authorship, development, improvements, trade secret, concept, or other proprietary information or intellectual property right owned by Participant or in which Participant has an interest, prior to, or separate from, performing the Participant Materials these Terms (“Prior Inventions”), and the Sponsor is hereby granted a nonexclusive, royalty-free, perpetual, irrevocable, transferable, worldwide license (with the right to grant and authorize sublicenses) to make, have made, use, import, offer for sale, sell, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, and otherwise exploit such Prior Inventions, without restriction, including, without limitation, as part of or in connection with such Invention, and to practice any method related thereto. Participant will not incorporate any invention, discovery, idea, original works of authorship, development, improvements, trade secret, concept, or other proprietary information or intellectual property right owned by any third party into any Invention without Sponsor’s prior written permission.
                       

                    3. Moral Rights. Any assignment to the Sponsor of Inventions includes all rights of attribution, paternity, integrity, modification, disclosure and withdrawal, and any other rights throughout the world that may be known as or referred to as “moral rights,” “artist’s rights,” “droit moral,” or the like (collectively, “Moral Rights”). To the extent that Moral Rights cannot be assigned under applicable law, Participant hereby waives and agrees not to enforce any and all Moral Rights, including, without limitation, any limitation on subsequent modification, to the extent permitted under applicable law.
                       

                    4. Maintenance of Records. Participant agrees to keep and maintain adequate, current, accurate, and authentic written records of all Inventions made by Participant (solely or jointly with others) during the term of these Terms, and for a period of three (3) years thereafter. The records will be in the form of notes, sketches, drawings, electronic files, reports, or any other format that is customary in the industry and/or otherwise specified by the Sponsor. Such records are and remain the sole property of the Sponsor at all times and upon Sponsor’s request, Participant shall deliver (or cause to be delivered) the same.
                       

                    5. Further Assurances. Participant agrees to assist Sponsor, or its designee, at the Sponsor’s expense, in every proper way to secure the Sponsor’s rights in Inventions in any and all countries, including the disclosure to the Sponsor of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments that the Sponsor may deem necessary in order to apply for, register, obtain, maintain, defend, and enforce such rights, and in order to deliver, assign and convey to the Sponsor, its successors, assigns and nominees the sole and exclusive right, title, and interest in and to all Inventions and testifying in a suit or other proceeding relating to such Inventions. Participant further agrees that Participant’s obligations under this Section 9.e shall continue after the termination of these Terms.
                       

                    6. Attorney-in-Fact. Participant agrees that, if the Sponsor is unable because of Participant’s unavailability, dissolution, mental or physical incapacity, or for any other reason, to secure Participant’s signature with respect to any Inventions, including, without limitation, for the purpose of applying for or pursuing any application for any United States or foreign patents or mask work or copyright registrations covering the Inventions assigned to the Sponsor in Section 9.a, then Participant hereby irrevocably designates and appoints the Sponsor and its duly authorized officers and agents as Participant’s agent and attorney-in-fact, to act for and on Participant’s behalf to execute and file any papers and oaths and to do all other lawfully permitted acts with respect to such Inventions to further the prosecution and issuance of patents, copyright and mask work registrations with the same legal force and effect as if executed by Participant. This power of attorney shall be deemed coupled with an interest, and shall be irrevocable.

                      10. Indemnification 
                      a. Participant agrees to indemnify and hold harmless the Sponsor and its affiliates and their directors, officers and employees from and against all taxes, losses, damages, liabilities, costs and expenses, including attorneys’ fees and other legal expenses, arising directly or indirectly from or in connection with (i) any negligent, reckless or intentionally wrongful act of Participant or Participant’s assistants, employees, contractors or agents, (ii) a determination by a court or agency that the Participant is not an independent contractor, (iii) any breach by the Participant or Participant’s assistants, employees, contractors or agents of any of the covenants contained in these Terms and corresponding Confidential Information and Invention Assignment Agreement, (iv) any failure of Participant to perform under the Terms in accordance with all applicable laws, rules and regulations, or (v) any violation or claimed violation of a third party’s rights resulting in whole, or in part, from the Sponsor’s use of the Inventions or other deliverables of Participant under these Terms.
                      11.
                      Limitation of Liability:

                       

                      Each Participant hereby acknowledges and agrees that the relationship between the Participant and Sponsor is not a confidential, fiduciary, or other special relationship, and that the Participant decision to participate for purposes of the Hackathon does not place any of the PArticipants in a position that is any different from the position held by members of the general public with regard to elements of the Content, other than as set forth in these Terms. Each Participant understands and acknowledges that theParticipant have wide access to ideas, text, images, code, applications, software, and other creative materials. Each Participant also acknowledges that many ideas for products, services, and advertising may be competitive with, similar to, or identical to their Content and/or each other in idea, function, components, format, or other respects. Each Participant acknowledges and agrees that such Participant will not be entitled to any compensation as a result of any Sponsor’s use of any such similar or identical material that has or may come to Sponsor from other sources. Each Participant acknowledges and agrees that Sponsor does not now and will not have in the future any duty or liability (direct or indirect; vicarious, contributory, or otherwise) with respect to the infringement or protection of the Participant’s or any third party’s patent, copyright or other proprietary rights in and to their Content.

                      TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTICIPANT AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY SPONSOR FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE ACCEPTANCE, USE, MISUSE, OR AWARDING OF A PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY PRIZE- OR HACKATHON-RELATED ACTIVITY INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, LOSS, DEATH OR ACCIDENT TO OR OF PERSON OR PROPERTY. THE PRIOR LIMITATION ON DAMAGES IS NOT INTENDED TO LIMIT THE SPONSOR’S OBLIGATION (IF ANY) TO PAY PREVAILING PARTY COSTS OR FEES IF RECOVERABLE PURSUANT TO APPLICABLE LAW. THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT LIMIT OR EXCLUDE THE SPONSOR’S LIABILITY FOR PERSONAL INJURY OR TANGIBLE PROPERTY DAMAGE CAUSED BY THE SPONSOR, OR FOR THE SPONSOR’S GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL, WILLFUL, MALICIOUS, OR RECKLESS MISCONDUCT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH WINNER AGREES THAT THE PRIZES ARE PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, THEIR QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
                      12.
                      DISPUTES/GOVERNING LAW:  Except where prohibited, as a condition of participating in this Hackathon, each Participant agrees that any and all disputes that cannot be resolved between the Participant and Sponsor, claims and causes of action arising out of or connected with this Hackathon, or the prize awarded, or the determination of a winner must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will a Participant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-pocket expenses (if any), not to exceed ten dollars ($10 USD), and Participant further waives all rights to have damages multiplied or increased.
                      THIS HACKATHON, THESE TERMS, AND ANY DISPUTE ARISING UNDER OR RELATED THERETO (WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT OR OTHERWISE) WILL BE GOVERNED, CONSTRUED, AND INTERPRETED UNDER THE INTERNAL LAWS OF THE STATE OF CALIFORNIA, U.S.A., WITHOUT REFERENCE OR GIVING EFFECT TO ITS CONFLICTS OF LAW PRINCIPLES OR RULES THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY OTHER JURISDICTION. ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS RELATED TO THIS HACKATHON(WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT, OR OTHERWISE) WILL BE BROUGHT EXCLUSIVELY IN A COURT IN ISRAEL OR IN THE U.S. DISTRICT COURT FOR THE NORTHERN DISTRICT OF CALIFORNIA OR A STATE COURT LOCATED IN OR HAVING JURISDICTION OVER SAN MATEO COUNTY, CALIFORNIA AND EACH PARTICIPANT IRREVOCABLY ACCEPTS, SUBMITS, AND CONSENTS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THESE COURTS WITH RESPECT TO ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS ARISING OUT OF OR RELATED TO THIS HACKATHON. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
                      13.
                      ADDITIONAL DISCLAIMERS:  Sponsor is not responsible and/or liable for any of the following, whether caused by Sponsor, the Participant, or by human error: participation submitted by illegitimate means (such as, without limitation, by an automated computer program) or participation in excess of any stated limit; any lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected participation, email, or Hackathon-related correspondence or materials; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Terms, any Hackathon-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or participation information. Sponsor is not responsible for electronic communications that are undeliverable or do not reach the Participant as a result of any form of active or passive filtering of any kind or insufficient space in a potential winner’s email inbox to receive email messages. Sponsor is not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Terms, Sponsor is not responsible or liable to any Participant or winner (or any person claiming through such Participant or winner) for failure to supply the prize or any part thereof in the event that any of the Hackathon activities or Sponsor’s operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Sponsor (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any force majeure event, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.

                      14. Miscellaneous 

                        1. By participating in this event, Participant understands that photographs, screen captures and recordings may be taken during the Hackathon events and be later published in various media by Sponsor, without payment or other consideration to Participants, to share information pertaining to the Sponsor’s Hackathons.

                        2. Sponsor may contact any of the Participants at any point during the event time frame for more information and to discuss matters pertinent to the event of interest, such as logistics, licenses, operations and/or instructions, etc. Afterwards, Sponsor will only contact those individuals who have explicitly opted-in to receive communications from the organizers or partners/sponsors.

                        3. At any time, at the sole and absolute discretion of Sponsor, Sponsor shall be entitled to disqualify a Participant and/or Team in the event of failure to meet relevant eligibility criteria or any other violation or suspected violation of these Terms and Conditions.

                        4. The Participant understands and agrees that Sponsor (including their licensees, successors, and legal representatives, and assigns), or any of its associated or affiliated companies, agents, and any third party media agencies will process his/her personal information provided in connection with Sponsor’s Hackathon events.

                        5. These Terms and Conditions, together with any Hackathon applications and registration forms, represent the Participant’s entire agreement with Sponsor with respect to the Hackathon. These terms cannot be modified or changed except with the written agreement of Sponsor.

                  All terms and rules are subject to change at the discretion of Sponsor management or partner/co-organizers’ discretion. Participants will be informed of such changes as deemed necessary.

                  1. Participant Marks. You grant to Sponsor a non-exclusive, irrevocable, worldwide, royalty-free, non-sublicensable, royalty free license to use your Participant Marks solely in connection with the Hackathon and the activities contemplated in Section 3, in any and all media formats, including, but not limited to advertising, marketing, network and streaming services, and promoting Sponsor and Sponsor’s products and services and identification of and discussion about your participation in the Hackathon.
                    h. Sponsor Materials. In connection with creation of the Participation Materials, Sponsor hereby grants Participant, during the Term, a limited license to use the Sponsor Materials solely in connection with Participant’s participation in the Hackathon.
